This notice is written in Japanese. The English text is a reference translation; in case of any discrepancy, the Japanese text prevails.

Article 1 (Ownership)

Except for the third-party components described in Article 7, the software, source code, design materials, documentation, data and all other content contained in the source code repositories managed by SportsTech Japan, Inc. (the "Company" or "STJ") (each, a "Repository"; collectively, the "Software") are the proprietary property of the Company, which holds, or controls under a valid right, the copyright and all other intellectual property rights therein.

Article 2 (No License Granted)

Except under a separate written agreement with the Company (including an employment agreement, service agreement, non-disclosure agreement or joint development agreement; the "Applicable Agreement"), no permission is granted to use, copy, modify, adapt, merge, publish, distribute, sublicense, sell, reverse engineer or otherwise exploit the Software. Being granted access to a Repository does not, by itself, constitute any license.

Article 3 (Scope of Use Under an Applicable Agreement)

A person engaged in work for the Company under an Applicable Agreement (including the Company's officers and employees, contractors, business partners and their personnel; an "Authorized User") may, unless the Applicable Agreement provides otherwise, view, copy, modify and run the Software solely to the extent necessary to perform that work. This right is non-exclusive and non-transferable, and terminates upon termination of the Applicable Agreement or revocation of access by the Company. Upon such termination, the Authorized User shall return or delete all copies of the Software in their possession or control as instructed by the Company.

Article 4 (Confidentiality and Trade Secrets)

The Software contains confidential information of the Company, and the Company manages the Software as a trade secret under the Unfair Competition Prevention Act of Japan. Authorized Users shall, in accordance with the Applicable Agreement, not disclose or leak the Software to any third party and shall not use it for any purpose other than the work defined in the Applicable Agreement. No part of the Software may be copied, transmitted or uploaded to any environment not approved by the Company, including personal accounts or devices, and external services and generative AI services not approved by the Company.

Article 5 (Handling of Data)

Personal information and any other data contained in a Repository, or made accessible through the Software, shall be handled only in accordance with the Applicable Agreement and the Company's instructions. Use for any other purpose, copying, and removal from the Company's control are prohibited. Production data and personal information must not be committed to a Repository.

Article 6 (Contributions)

  1. All contributions to a Repository, including code, documentation, commits, pull requests, issues and review comments ("Contributions"), are made under the Applicable Agreement, and ownership of Contributions is governed by the Applicable Agreement. Persons who have not entered into an Applicable Agreement must not contribute to a Repository.
  2. Where the Applicable Agreement is silent on the ownership of Contributions, or where a Contribution is made without an Applicable Agreement, the contributor is deemed to have granted the Company a royalty-free, perpetual, irrevocable, worldwide and sublicensable license to use, copy, modify, adapt, merge, publish, distribute and sell the Contribution, and the Company may freely remove or modify all or any part of the Contribution.
  3. Each contributor represents that their Contributions are their own original work, do not contain any third-party confidential information or infringe any third-party intellectual property rights, and do not include software under license terms incompatible with the handling of the Software except through the procedures established by the Company.

Article 7 (Third-Party Components)

Third-party software on which a Repository depends or which it bundles, including open source software, is excluded from this notice and remains subject to its own license terms. Authorized Users shall comply with those license terms and shall not add new third-party components to a Repository except through the procedures established by the Company.

Article 8 (Trademarks)

This notice grants no license to use "SportsTech Japan", "STJ", "Baselink", "Baselink AI" or any other trade name, trademark, service mark, logo or product name of the Company, whether registered or not.

Article 9 (Disclaimer of Warranty)

Unless otherwise provided in the Applicable Agreement, the Software is provided "AS IS" without warranty of any kind, express or implied.

Article 10 (Nature of This Notice; Miscellaneous)

  1. This notice serves to give notice of the Company's rights and of the absence of any license. It does not amend or supplement the Applicable Agreement. In the event of any conflict between this notice and the Applicable Agreement, the Applicable Agreement prevails.
  2. This notice, and any copyright or confidentiality notices affixed to source code or other materials, must not be removed or altered.
  3. Any failure or delay by the Company in exercising any right under this notice shall not constitute a waiver of that right.
  4. The Company may seek injunctive relief, damages and any other legal remedies against any use of the Software contrary to this notice.
  5. This notice is governed by and construed in accordance with the laws of Japan. Any dispute arising in connection with this notice shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
