Baselink AI Terms of Service

Version v2.0.0 · Effective 2026-10-03 · Translated 2026-09-16

These Terms of Service apply when you use "Baselink AI" (the "Service") provided by SportsTech Japan, Inc. (the "Company"). Please read these Terms and use the Service only after you have agreed to their contents.

Article 1 (Application of these Terms)

  1. These Terms set out the conditions applicable to users receiving the Service in connection with the Company's provision of the Service.
  2. The Company may establish individual terms, guidelines, or other rules regarding the use of the Service in addition to these Terms. In such cases, those individual terms, guidelines, or other rules shall form part of these Terms. If the content of such individual terms or other rules conflicts with the content of these Terms, the individual terms or other rules shall apply in priority. However, where a document whose purpose is to explain the contents of these Terms in plain language (such as the Community Guidelines) contains a statement to that effect, these Terms shall prevail.
  3. A user who uses the Service is deemed to have agreed to these Terms.
  4. If the user is a minor, the user must obtain in advance the consent of a person with parental authority or other statutory representative for the use of the Service (including the purchase of Coins and applications for Coaching Services).
  5. The Service is intended for users aged 13 and over. Where a user is under 13 years of age, that user shall use the Service under the management of a person with parental authority or other statutory representative. Even in such a case, the account must be registered in the name of that user, and the date of birth registered must be that of the user and must be accurate.
  6. The Company may restrict the use of certain features based on the date of birth registered by the user.

Article 2 (Registration)

  1. A user may complete registration by registering the required information in the manner prescribed by the Company.

  2. Users must provide the Company with accurate and up-to-date registration information.

  3. If any change arises in the registered information, the user shall promptly notify the Company of the change.

  4. Where a person applying for registration falls under any of the following items, the Company may refuse registration, and shall be under no obligation to disclose the reasons.

    (1) Where the registration information contains falsehoods, errors, or omissions

    (2) Where the person has violated these Terms in the past

    (3) Where the person is in breach of the representations under Article 19 (Exclusion of Antisocial Forces)

    (4) Where the Company otherwise determines that registration is not appropriate

  5. The Company's liability where a user suffers damage or disadvantage as a result of registration information being inaccurate or false, or as a result of a change not having been notified, shall be as set out in Article 20.

Article 3 (Management of IDs and Passwords)

  1. When a user completes registration, the Company issues an ID and password.
  2. Users shall strictly manage and safeguard their ID and password, and shall not allow any third party to use them by lending, transfer, sale, or any other means. The Company's liability where a user suffers damage or disadvantage due to inadequate management of an ID or password shall be as set out in Article 20.
  3. If a user loses or forgets an ID or password, or discovers that it is being used by a third party, the user shall immediately notify the Company to that effect.
  4. The Company shall deem use of the Service under an ID and password issued to a user to be the acts of that user. However, this does not apply where a third party used the ID or password due to causes attributable to the Company, and in that case the Company's liability shall be as set out in Article 20.

Article 4 (Purchase or Use of Products)

  1. A user who wishes to purchase or use products, digital content, or services provided through the Service ("Products") shall apply for such purchase or use in accordance with the method designated by the Company.
  2. Upon making an application under the preceding paragraph, a contract for the purchase or use of the Products shall be formed with the Company when the user confirms the entered details and application contents, clicks the button confirming the application, and the Company receives the application.
  3. Notwithstanding the provisions of this Article, if there is a breach of these Terms in connection with the use of the Service, the Company may cancel the sales contract, claim damages, or take such other measures as the Company deems appropriate. The Company's liability for any damage or disadvantage suffered by the user as a result of such measures shall be as set out in Article 20.

Article 5 (Coins)

  1. "Coins" means value recorded by an electromagnetic method prescribed by the Company that can be used to pay the consideration for services provided by the Company within the Service.

  2. Coins may be acquired by any of the following methods.

    (1) Purchase by the method prescribed by the Company (in-app purchase through the App Store or Google Play)

    (2) Grant free of charge for completing missions, inviting friends, or satisfying other conditions determined by the Company

    (3) Other methods determined by the Company

  3. Coins may be used only to pay the consideration for services designated by the Company within the Service. Coins cannot be exchanged for cash or any other property (no conversion into cash). Coins may not be transferred or lent to other users.

  4. The Company does not provide refunds of Coins. However, this does not apply where a refund is required under the Payment Services Act or other laws and regulations.

  5. For Coins granted free of charge, the Company may set an expiration period determined by the Company. The expiration period shall be set within a range of one (1) month to six (6) months from the date of grant, depending on the type of grant, and shall be clearly indicated to the user at the time of grant. Free Coins that have passed their expiration period expire. No expiration period is set for Coins acquired by purchase.

  6. Users can check their Coin balance and usage history on screens within the Service.

  7. If a user deletes their account, the Coins held by that user expire, and the Company shall not compensate for them except where required under laws and regulations. Before deleting your account, please use the Coins you hold. During a period of suspension of use under Article 18, paragraph 2, the user cannot use Coins, but the Coins do not expire. If the Company cancels the user's registration (terminates the contract under these Terms) pursuant to Article 18, paragraph 3, Coins granted free of charge expire. The handling of Coins acquired by purchase shall follow the provisions of laws and regulations.

  8. If the Company terminates provision of the Service, the Company shall, in accordance with laws and regulations, give advance public notice to that effect and take the necessary measures.

  9. Where the Company finds that a user's Coin balance is not legitimate due to a system error, wrongful acquisition, or any other cause, the Company may correct the Coin balance. In this case, the Company shall notify the user of the details of the correction without delay.

  10. Where Coins constitute prepaid payment instruments under the Payment Services Act, the Company shall, in accordance with that Act, display the matters required by law, preserve unused balances, and take other necessary measures.

Article 6 (Coaching Services)

  1. Users may receive, through the Service, instruction ("Coaching Services") provided by users registered as coaches on the Service ("Coaches").
  2. An application for Coaching Services is made by the user selecting a plan on the Service and applying in the manner prescribed by the Company. Notwithstanding the provisions of Article 4, paragraph 2, at the time the Company receives the application, Coins are consumed and a contract for the use of the Coaching Services is formed between the Company and the user. No separate acceptance by the Coach is required.
  3. With respect to a contract formed under the preceding paragraph, the user may withdraw the application, by notifying the Company's designated contact desk, only before provision of the Coaching Services (meaning the start of instruction by the Coach or of the provision of reports) begins. In this case, the Company will return all of the Coins consumed. In the case of a cancellation for the user's own convenience after provision of the Coaching Services has begun, the Company will return the remainder of the consumed Coins after deducting the portion corresponding to the services already provided (calculated according to the contents of the plan selected by the user). Requests for such cancellation are also accepted at the Company's designated contact desk. Where the Coaching Services were not provided due to causes attributable to the Coach, the Company will return all of the Coins consumed.
  4. The contents, duration, number of videos that may be sent, and other conditions of the Coaching Services shall be as set out in the plan selected by the user.
  5. If the user is a minor, the user must obtain the consent of a person with parental authority or other statutory representative in order to apply for Coaching Services.
  6. A Coach's career history, qualifications, track record, and other information that a Coach posts on the Service are based on the Coach's own declarations. The Company does not guarantee the truthfulness, accuracy, or completeness of such information.
  7. Instruction in the Coaching Services is carried out by the Coach. The Company's liability for the contents and results of the Coach's instruction shall be as set out in Article 20.
  8. Users and Coaches shall conduct communications relating to the Coaching Services through the Service. Payment of the consideration for the Coaching Services shall be made only through the consumption of Coins under paragraph 2, and users and Coaches shall not conduct communications or exchanges of money by any method outside the Service.
  9. In providing the Coaching Services, Coaches shall comply with these Terms and the Community Guidelines established by the Company (including the rules for instructors). In particular, communications with minor users shall be limited to the extent necessary for instruction under the Coaching Services, and Coaches shall not exchange private contact details, give money, goods, or Coins, demand that matters be kept secret, or engage in any other conduct prohibited by the Community Guidelines. If a Coach violates these provisions, the Company may, in addition to the measures under Article 18, cancel the Coach's registration as a Coach.

Article 7 (Payment Methods)

  1. Users shall pay the price of the Products displayed during the purchase procedure for Products set out in Article 4.
  2. The method of payment for Products shall be the method indicated during the purchase procedure or such other payment method as the Company separately approves.
  3. In the case of payment by credit card, the user shall comply with the conditions separately contracted between the user and the credit card company. If any dispute arises between the user and the credit card company in connection with the use of a credit card, the user shall resolve such dispute at the user's own responsibility and expense.

Article 8 (Use of Content)

Where the subject of an application is digital content, such digital content becomes available for use after the contract for its use has been formed. Loss, destruction, or damage of downloaded items is the responsibility of the user. For the avoidance of doubt, intellectual property rights, including copyright, in digital content are not transferred to the user.

Article 9 (Return and Exchange of Products)

  1. With respect to the Service, returns and exchanges of Products are not accepted except in the following cases.

    (1) Where the Products are defective or faulty

In this case, the user shall notify the Company within eight (8) days after the arrival of the Products, using the method designated by the Company.

    (2) Other cases separately determined by the Company

In this case, the method indicated on the Company's website or elsewhere shall apply.

  2. Minor users purchasing Products must obtain in advance the consent of a person with parental authority or other statutory representative. Regardless of whether the statutory representative's consent has been obtained, the handling of returns and exchanges is as set out in the preceding paragraph.

Article 10 (Disclaimer regarding Products)

  1. The Company's liability regarding the quality, functionality, performance, compatibility with other goods, or other defects of Products sold through the Service shall be as set out in the preceding Article and Article 20.
  2. The Company makes no warranty whatsoever, including as to legality, usefulness, completeness, accuracy, currency, reliability, or fitness for a particular purpose, with respect to displays on the website of the Service, photographs and comments regarding Products posted by users, or comments posted on X (formerly Twitter), Instagram, or other social networking services.

Article 11 (Subscriptions)

  1. Subscription plans are billed monthly. Billing continues in advance of each subscription period.
  2. At the end of each subscription period, the subscription is automatically renewed on the same conditions unless the user or the Company cancels the subscription.
  3. If a subscription charge is not paid for any reason, the Company may immediately suspend provision of the Service to that user.
  4. The Company may revise subscription and other fees where there are reasonable grounds, such as changes in economic conditions or changes to the contents provided. A revision of fees applies from the renewal for the next subscription period.
  5. The Company will send advance notice to users before any change to subscription fees, in order to give users an opportunity to decide whether to continue the subscription.
  6. If a user continues to use the Service after a change to subscription fees, the user is deemed to have agreed to the change.
  7. Except as required by law, subscription fees already paid are non-refundable.

Article 12 (Intellectual Property Rights and Content)

All rights, including intellectual property rights such as copyright, in all materials comprising the Service belong to the Company or to the third parties holding such rights. Users shall acquire no rights whatsoever in any materials of the Service, and shall not, without the permission of the rights holder, perform any act infringing rights in such materials. The permission to use the Service granted under these Terms does not constitute a license to use the rights of the Company or of third parties holding rights in relation to the Service.

Article 13 (User Submissions)

  1. Please use the Service with a full understanding that postings, reviews, comments, and other information submitted by users within the Service, as well as images, illustrations, and other content that users post, upload, or make viewable (collectively, "User Submissions"), may be accessed and viewed by an unspecified number of users of the Service. The user who made a User Submission bears sole responsibility for it.

  2. Users may not post the following information.

    (7) Any other information that the Company deems inappropriate

  3. Users grant the Company permission to use User Submissions free of charge (such use including reproduction, public transmission, display, and adaptation) to the extent necessary for the provision, maintenance, and improvement of the Service (including improving the quality of AI analysis) and for publicity for the Service. The Company will not use User Submissions for advertising delivery or targeting. In granting such permission, users represent and warrant the following.

    (1) That the user is the rightful holder of the copyright, neighboring rights, portrait rights, and all other rights in the User Submission, or has obtained from the rightful holder all permissions necessary for the use of the User Submission in connection with the Service.

    (2) That the posting of the User Submission and its use by the Company do not infringe the copyright, neighboring rights, portrait rights, or any other rights of third parties.

  4. For the purpose of enabling users to use the Service safely, the Company may monitor the contents of User Submissions.

  5. Where a User Submission violates these Terms or falls under any of the following circumstances, the Company may delete the User Submission and restrict the user's posting without prior notice to the user.

    (3) Where the volume of User Submissions or similar exceeds, or threatens to exceed, the prescribed capacity of the Company's equipment

  6. The Company is under no obligation to respond to users regarding the reasons for deletion or posting restrictions under the preceding paragraph. The Company's liability for any damage or disadvantage arising to users from such deletion or restriction shall be as set out in Article 20. The Company is likewise under no obligation to delete User Submissions.

  7. Users agree in advance to the monitoring, deletion, and posting restrictions of User Submissions under this Article.

  8. Direct messages and other information that users send or store on the Service and that is not intended to be made available to an unspecified number of users ("Messages, etc.") are not included in User Submissions for the purposes of paragraphs 1 and 3. Paragraph 2, paragraphs 4 through the preceding paragraph, and Article 18, paragraph 2 apply to Messages, etc. in the same manner as to User Submissions. The Company reviews the content of Messages, etc. only in the cases set out in the Privacy Policy.

Article 15 (Change, Addition, Suspension, and Termination of the Service)

  1. The Company may change, add to, suspend, or terminate all or part of the contents of the Service.
  2. When making a change, suspension, or termination that has a material impact on users, the Company shall, in principle, give notice at least 30 days in advance through in-app announcements or other means. However, this does not apply in cases of urgent unavoidable necessity, in which case the Company shall give notice promptly afterwards.
  3. The handling of Coins in the event of termination of the entire Service shall be as set out in Article 5, paragraph 8.

  2. Upon withdrawal, the user loses the rights relating to the use of the Service that the user held at the time of withdrawal. The handling of Coins held is as set out in Article 5, paragraph 7, and the handling of posts, messages, and other data is as set out in the Privacy Policy.
  3. Users with an active subscription must, upon withdrawal, separately complete the cancellation procedure for the subscription in accordance with the rules of the App Store or Google Play. Withdrawal alone may not stop subscription billing.

  1. Users may not perform the following acts.

    (1) Acts that obstruct, or risk obstructing, the operation of the Service

    (2) Acts that interfere with other users' use of the Service

    (5) Acts that violate, or risk violating, public order and morals or other laws and regulations

    (6) Acts that violate these Terms

    (7) In addition to the preceding items, acts that the Company deems inappropriate in light of the purpose of the Service

  2. If the Company determines that a user has performed an act set out in the preceding paragraph, the Company may, after notifying the user, suspend the use of all or part of the Service, delete or hide User Submissions, cancel the user's registration (delete the account), or take such other measures as the Company deems necessary and appropriate. However, in cases of urgency or other cases where prior notice is not appropriate, the Company may take these measures without prior notice. The Company's liability for any damage or disadvantage arising to the user from measures under this paragraph shall be as set out in Article 20.

  3. Where a violation of paragraph 1 is material, or where it is not remedied within a reasonable period despite a demand for remedy, the Company may cancel the user's registration.

Where a user suffers damage due to causes attributable to the Company, the Company shall be liable to compensate for such damage within the scope of the direct and ordinary damage actually incurred by the user, and up to a limit of the amount of the consideration the user paid to the Company for the Products or Coaching Services that caused the damage (or, where payment was made with Coins, the amount the user actually paid to acquire those Coins).

  2. The preceding paragraph does not apply where the user suffers damage due to the Company's willful misconduct or gross negligence.

  3. Any provision in other articles of these Terms exempting or limiting the Company's liability for damages applies only in cases of slight negligence, and does not apply in cases of the Company's willful misconduct or gross negligence.

  4. (3) That the Service will continue to exist in the future.

  6. Regardless of the reason, the Company shall be under no obligation to restore data or the like where all or part of it is lost, damaged, or altered. The Company's liability for damage arising to users from such loss, damage, or alteration shall be as set out in paragraphs 1 through 3.

  7. No provision of these Terms exempts or limits the Company's liability for damages to an extent not permitted by the Consumer Contract Act or other laws and regulations where the contract between the Company and the user relating to the Service constitutes a consumer contract as defined in the Consumer Contract Act.

Article 21 (Confidentiality)

  2. Where the Company gives notice by sending an email to the address referred to in the preceding paragraph, the Company's notice shall be deemed to have reached the user at the time it is recorded on the mail server for that email address.
  3. If there is any change to the email address referred to in paragraph 1, the user shall promptly notify the Company. Any notice sent by the Company to the pre-change email address before receiving notice of the change under this paragraph shall be deemed to have reached the user at the time it would ordinarily have arrived.

  2. Where a dispute under the preceding paragraph arises due to causes attributable to the user and the Company suffers damage (including attorneys' fees within a reasonable range), the user shall compensate such damage.

Article 24 (Prohibition of Assignment of Rights and Obligations)

Users may not assign, transfer, create security interests over, or otherwise dispose of, to any third party, all or part of their contractual position under these Terms or the rights and obligations arising therefrom, without the prior written consent of the Company.

Article 25 (Severability)

If any provision of these Terms violates laws or regulations applicable to a contract with a user under these Terms and is held invalid, that provision shall not apply to the contract with that user to the extent of such violation. Even in this case, the validity of the other provisions of these Terms shall not be affected.

Article 26 (Changes to these Terms)

Where it becomes necessary to change these Terms, the Company may change these Terms pursuant to Article 548-4 of the Civil Code (Change of Standard Terms of Contract). When changing these Terms, the Company shall determine the effective date of the change and, by the effective date, shall give notice of the following matters by email or other means.
